Creator & Seller Agreement

Last updated: October 15, 2026

This Creator & Seller Agreement ("Agreement") is a written contract between My Course Academy LLC, operating as My Course Academy ("we", "us", "the Academy"), and you, the person or business that subscribes to a Creator plan ("Creator"). It supplements our Terms of Use; if the two conflict on a Creator matter, this Agreement controls. You accept this Agreement when you subscribe to a Creator plan, and it is in place before any student pays for your content.

1. Who sells the course

Every course, bundle, Corporate license and membership license is sold to the buyer by My Course Academy as seller of record. The Academy's name appears on the checkout page, the card statement and the receipt. Your storefront, name and course pages identify you as the author and instructor of the content. The Academy sets the checkout, refund and billing rules that apply to every sale; you set your course prices.

2. Appointment as payment-collection agent

You appoint the Academy as your limited agent to receive payments from buyers on your behalf for the portion of each sale owed to you. When a buyer pays the Academy, the buyer's payment obligation for your share is fully satisfied, and the buyer owes you nothing further, even if the Academy is later delayed in paying you. Your only recourse for unpaid amounts is against the Academy under this Agreement, never against the buyer.

Funds are collected into the Academy's Stripe account and paid to you by separate transfer to your connected Stripe account ("separate charges and transfers"). Nothing in this Agreement makes the Academy a bank, trustee or escrow agent, and amounts owed to you do not earn interest.

3. Revenue share and platform fees

  • Public course and bundle sales: the Academy keeps a 15% platform fee; you earn 85% of the amount the buyer actually paid.
  • Bundles with several Creators' courses: the bundle price is divided across included courses in proportion to their list prices, then the 15% fee applies to each part.
  • Collaboration sales: the 15% fee comes off first; the agreed collaboration split is then applied to the remaining 85%.
  • Corporate (B2B) licenses: the Academy keeps a 20% platform fee, which covers corporate-scale streaming. Your share is paid in installments over the license term (see section 5).
  • Membership licenses: you pay the Academy a monthly license fee; no per-member sales revenue is created.
  • Your own purchases: buying your own course creates no amount owed to you.

Card processing fees are absorbed by the Academy out of its platform fee and are not separately deducted from your share. Your Creator subscription is billed separately and is not netted against earnings.

4. Payouts, timing and reserves

To receive money you must connect a Stripe account through Studio → Payouts and complete Stripe's identity and bank verification. Earnings are recorded at the time of sale and stay pending until your account can receive transfers. Pending earnings are retried automatically each day and then paid. Stripe's own payout schedule and holds then apply between your Stripe balance and your bank.

The Academy may delay, hold or reserve payouts when reasonably needed to cover likely refunds, chargebacks, suspected fraud, a legal claim, unverified identity, or a breach of this Agreement. Earnings are not owed for a sale that is refunded, reversed or found to be fraudulent.

5. Corporate license installments

For Corporate licenses, your share is paid in installments matching the license term and only while you keep an active Creator subscription. If your subscription lapses or your account closes before the term ends, remaining unpaid installments are forfeited to the Academy, which continues to deliver the licensed content to the Corporation.

6. Refunds, chargebacks and clawbacks

All sales are final under the Terms of Use except for the named exceptions there. The Academy alone decides refunds and pays them from its own Stripe account; you may not promise or issue refunds for Academy sales.

  • A full refund reverses your entire share of that sale.
  • A partial refund reduces your share by the same proportion as the refund.
  • A chargeback or dispute the Academy loses reduces your share the same way, plus any dispute fee where the dispute was caused by your content or conduct.
  • All Academy sales are final. Refunds are granted only for a verified delivery failure, a duplicate charge, or an unauthorized charge (Terms section 6.0), or where law requires.

If your share was already paid, the Academy may reverse the Stripe transfer, deduct the amount from future earnings, or invoice you; invoices are due within 30 days. Collaboration shares are reduced in the same proportions. Student access after a refund is decided by the Academy and does not change the clawback.

7. Creator subscription and content removal

Selling requires an active Creator plan, billed automatically through Stripe until you cancel. When you cancel or payment fails, you keep Studio access through the paid period plus a 30-day grace period during which your courses are hidden from the catalog. When the grace period ends, your courses, chapters and videos are permanently deleted, any collaboration listings end, and students lose access. You agree to give your students notice before cancelling. The Academy emails affected students as well.

8. Ownership and license of content

You keep all ownership of your course content. You grant the Academy a non-exclusive, worldwide, royalty-free license, for as long as the content is on the Platform and as needed afterward for records and disputes, to host, encode, stream, display, back up and deliver it to authorized buyers, licensees and members, and to use your name, storefront and course descriptions to promote the Platform and your courses. When you copy content into another Creator's course or license it, you are responsible for having the right to do so.

9. Taxes

As seller of record, the Academy calculates, collects and remits sales tax on sales where required. You are an independent business, not an employee, partner or joint venturer of the Academy, and you are responsible for your own income tax. Stripe may collect your tax information and issue tax forms (such as Form 1099-K) for payouts as required by law.

10. Your promises

  • You own or have permission for everything you upload, including music, images and slides.
  • Your course descriptions, claims and testimonials are truthful and not misleading, and any incentive for a testimonial is disclosed.
  • You follow the rules of any professional license or board you hold, including rules on health claims, scope of practice and testimonials.
  • Your course disclaimer and consent wording is accurate for your content. The Academy provides the signing tool but does not review your wording.
  • You handle the random-ID Outcomes Check-in results only as permitted and never try to identify a participant.

11. Indemnity and liability

You will defend and indemnify the Academy against claims, losses and costs (including reasonable legal fees) arising from your content, your claims to students, your breach of this Agreement, or a professional-practice complaint about your teaching. The Academy's total liability to you under this Agreement is limited to the platform fees it earned from your sales in the 12 months before the claim.

12. Records and disputes about earnings

The Academy keeps a per-sale ledger of list price, amount paid, platform fee, your share, refunds and transfers. You must raise any question about an amount within 90 days of the sale or transfer; after that the ledger is treated as final. Disputes go first to good-faith discussion for 30 days, then mediation, before any other step allowed under the Terms of Use. California law governs.

13. Suspension and termination

The Academy may suspend sales, hold payouts or end this Agreement for breach, legal risk, repeated usage overages or harm to students. You may end it by cancelling your plan. Sections 2, 4, 6, 8 (for records), 9, 11 and 12 continue after termination for sales made before it.

14. Changes

We will email you at least 30 days before a change to fees or revenue share takes effect. Other changes take effect when posted. Continuing to sell after a change takes effect means you accept it.
